BOARD
OF DIRECTORS
Act 89 of June 21, 1955, as amended, assigns
the following functions to the Board of Directors of the Puerto
Rican Institute of Culture:
“Starting from the date of enforcement of this Act,
the Puerto Rican Institute of Culture shall have a Board of
Directors composed of nine (9) members, eight (8) of which
shall be appointed by the Governor, with the advice and consent
of the Senate. The ninth member of the Board of Directors shall
be the President of the Musical Arts Corporation, with absolute
power. They shall all be persons of renowned capacity, knowledgeable
of Puerto Rican cultural values and of the meaning and appreciation
of the same. Three (3) of the eight (8) members shall be directly
appointed by the Governor, selected among persons of renowned
interest and knowledge of Puerto Rican cultural values; three
(3) of the members may be selected by previous recommendation
of the twelve (12) candidates proposed by Boards of Directors
of the following institutions: (1) Ateneo Puertorriqueño,
three (3) candidates; (b) Puerto Rican Academy of the Spanish
Language, three (3) candidates; (c) Puerto Rican Academy of
History, three (3) candidates, and (d) Academy of Arts and
Sciences, three (3) candidates. The Governor shall appoint
two (2) additional members representative of the cultural centers
of the country, affiliated with the Institute. One (1) of the
eight (8) members appointed as directors shall be designated
by the Governor as President of the Board. Five (5) of the
directors shall be appointed for a term of four (4) years,
and four (4) shall be named for a term of three (3) years.
At the expiration of the term of the first eight (8) appointments,
the successive terms shall be of four (4) years each, and until
their successors are appointed and take charge of their position.
In the event of a vacancy, the Governor shall appoint a new
member for the term not completed by the previous member, subject
to the provisions of this section applicable for such nomination.
The directors shall not receive wages, but will be entitled
to a per diem of fifty (50) dollars for the attendance to every
meeting. They shall also be entitled to reimbursement for expenses
incurred during travels authorized by the Board. Five (5) of
the directors shall constitute quorum for meetings. The Governor
shall summon the meeting to organize the Board. Subsequent
meetings shall take place according to the regulation to such
effects as may be approved by the Board of Directors.”

(a) By the majority of its members,
the Board shall appoint an Executive Director, who shall
be a person of renowned knowledge and services in favor of
the Puerto Rican culture, subject to the general direction
or inspection of the Board, and shall serve at will of the
same...”

Pursuant to Article 4 - Section 1 of the Internal Ruling of
the Board of Directors, the Responsibilities and Powers of
the Board are defined as follows:
“The Law grants the Board of
Directors of the Institute the most ample responsibility
and powers necessary to establish and execute public policies
related to the development of the arts and cultural activity
in Puerto Rico. The Board shall be responsible for examining
the assigned budget and shall require from the Executive
Director the adjustment of goals and objectives to said budget,
in order that the relation between each other is clear, and
that the representations made about what the Institute is
to accomplish, be reasonable.”
